TO: Current Dues-Paying Members of Portage Curling Association, Inc.

 

At the direction of the Board of Directors for the Portage Curling Association, Inc., a Special Meeting of Portage Curling Association, Inc. has been called for Sunday, November 8th at 3:00 PM. The meeting shall be held at the Portage Curling Club, located at 107 E. Albert Street, Portage, Wisconsin 53901. It will coincide with the Raise the Roof Tailgate Party.

 

The agenda for said meeting will be posted on the club website and can be shared upon request. Copies of the proposed updated Articles of Amendment and Restated Articles of Incorporation of Portage Curling Association, Inc. are attached to this notice and can also be shared upon request. Copies of the proposed updated Bylaws can also be shared upon request. All will be available in physical copy at the special meeting and upon request.

 

Based upon the corporate records of the Portage Curling Association, Inc., you are a current dues-paying member. Based upon these facts, you have a right to vote at said Special Meeting. Pursuant to the Articles of Organization of the Portage Curling Association, Inc., quorum for said Special Meeting is 10 members. Therefore, your presence at said meeting is requested and necessary so that a legal meeting may be held. 

 

The Portage Curling Association, Inc. was organized pursuant to Articles of Organization last updated June 27, 1994. These Articles of Organization have not been changed since that time. Pursuant to those Articles of Organization, the members of the Portage Curling Association, Inc. who have a right to vote are limited to current dues-paying members of the Portage Curling Association, Inc. 

 

The general purpose of the Special Meeting is, in the first instance, to amend the Articles of Incorporation so that they continue to comply with the requirements necessary so that the Portage Curling Association may qualify as a Tax Exempt Charitable Organization. The second reason for the meeting is to amend the Articles so that they may be updated to better serve the membership. The third reason is to amend the Bylaws to update them to better serve the membership.

 

Notice of the Special Meeting is being shared via email addresses for the current membership and via the club’s social media outlets. The reason for the publication is to make sure that in the event the club records are incomplete, proper notice is given of this Special Meeting.
